We at Burak Karakızlı (“Parameter,” “we,” “us,” “our”) know that our users (“you,” “your”) care about how your personal information is used and shared, and we take your privacy seriously. By visiting or using the theparameter.co website and domain name, and any other linked pages, features, content, or any other services we offer from time to time by in connection therewith (collectively, the “Website and Mobile Application”), you acknowledge that you accept the practices and policies outlined in this Privacy Policy, and you hereby consent that we will collect, use, and share your information in the following ways.
About Parameter’s Privacy Policy
This Privacy Policy covers our treatment of personally identifiable information (“Personal Information”) that we gather when you are accessing or using our Website and Mobile Application. This policy does not apply to the practices of companies that we do not own or control, or to individuals that we do not employ or manage.
Parameter does not knowingly collect or solicit Personal Information from anyone under the age of 18 or knowingly allow such persons to register. If you are under 18, please do not attempt to register for the Website or send any information about yourself to us, including your name, address, telephone number, or email address. No one under age 18 may provide any personal information to Parameter or on the Website/Mobile Application. In the event that we learn that we have collected personal information from a child under age 18 without verification of parental consent, we will delete that information as quickly as possible. If you believe that we might have any information from or about a child under 18, please contact our support team.
What information does Parameter collect?
We gather various types of Personal Information from our users, as explained more fully below. We may use this Personal Information to personalize and improve our services, to allow our users to set up a user account and profile, to contact users, to fulfill your requests for certain products and services, to analyze how users utilize the Website/Mobile Application, and as otherwise set forth in this Privacy Policy. We may share certain types of Personal Information with third parties (as set forth in this Section and in Section III below). We collect the following types of information:
Information Provided to Parameter
We receive and brand any information you knowingly provide to us. For example, during the registration process, we collect Personal Information such as your name, Parameter name, job title, email address, IP address, and browser information. We may collect other Personal Information you provide us through your use of our services, such as the data you submit in your projects. You can choose not to provide us with certain information, but then you may not be able to take advantage of many of our special features.
Information Collected Automatically
Whenever you interact with our Website or Mobile Application, we automatically receive and record information on our server logs from your browser including your IP address, “cookie” information, and the page you requested. Some of this automatically collected information may or may not be Personal Information, depending on whether it is personally identifiable in nature or not.
“Cookies” are identifiers we transfer to your computer through your browser that allow us to recognize your browser and tell us how and when pages in our site are visited and by how many people. You may be able to change the preferences on your browser to prevent or limit your computer’s acceptance of cookies, but this may prevent you from taking advantage of our Website’s best features.When we collect usage information (such as the numbers and frequency of visitors to our site), we only use this data in aggregate form, and not in a manner that would identify you personally. We may contact you, by email, through your account, or other means; with information we think you may find useful or which you have requested from us, including information about our products and services, provided you have indicated that you do not object to being contacted for these purposes. To enable us to monitor the efficacy of our communications, our marketing emails contain tracking technology that enables us to tell whether they have been opened and read, whether links have been clicked upon and the date, time and city-level location of recipient engagement with our emails. You can tell us not to contact you with information regarding our products and services either at the point such information is collected on Parameter (by checking or unchecking (as directed) the relevant box) or, where you do not wish us to continue to use your information in this way, by following the unsubscribe instructions on any communications sent to you. You can also exercise the right at any time by contacting our support team.
Sharing Information
We share your Personal Information with third parties only as described below. Some of these third parties require this personal information in a personally identifiable format as necessary to fulfill their service.
Agents – We employ other companies and people to perform tasks on our behalf and may need to share your information with them to provide products or services to you. Unless we tell you differently, our agents do not have any right to use the Personal Information we share with them beyond what is necessary to assist us. For example, if you were to engage in a credit card transaction via the Website, we would need to allow a credit card processing company to verify the transaction; however, that Parameter would only be authorized to use your credit card information to the extent we needed their assistance in completing your transaction.
Analytics – We send personal information to data processors often in aggregate format to help us monitor usage and improve our experience & service.
Personalized Marketing – We send personal information to automation tools that help us send you relevant and timely marketing communication.
Business Transfers – We may choose to buy or sell assets. In these types of transactions, customer information is typically one of the business assets that is transferred. Also, if we (or substantially all of our assets) are acquired, or if we go out of business or enter bankruptcy, Personal Information would be one of the assets transferred to or acquired by a third party.
Protection of Parameter and Others – We may release Personal Information when we believe in good faith that release is necessary to comply with that law; enforce or apply our conditions of use and other agreements; or protect the rights, property, or safety of Parameter, our employees, our users, or others. This includes exchanging information with other companies and organizations for fraud protection and credit risk reduction.
With Your Consent – Except as set out above, you will be notified when your Personal Information may be shared with third parties, and will be able to prevent the sharing of this information.
Security
Your account is protected by a password for your privacy and security. You need to prevent unauthorized access to your account and Personal Information by selecting and protecting your password appropriately and limiting access to your computer and browser by signing off after you have finished accessing your account.
We endeavor to protect the privacy of your account and other Personal Information we hold in our records, but we cannot guarantee complete security. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time.
The Website may contain links to other sites. We are not responsible for the privacy policies and/or practices on other sites. When following a link to another site, either from the Website or one of our emails, you should read that site’s privacy policy.
Unsubscribe – If you do not wish to receive email or other mail from us, contact our support team or, if applicable, unsubscribe by clicking the unsubscribe button at the bottom of an email.Please note that if you do not want to receive legal notices from us, such as this Privacy Policy, those legal notices will still govern your use of the Website, and you are responsible for reviewing such legal notices for changes.
Right to Erasure
You may have a right to request that We delete the personal information We hold about you at any time, and We will take reasonable steps to delete Your personal information from Our current records. If you ask us to delete your personal information, we will let you know how the deletion affects your use of the Site or products and services. There may be exceptions to this right for specific legal reasons which, if applicable, We will set out for you in response to your request.

Terms of Use
Burak Karakızlı (“Parameter,” “we,” “our”) offers a variety of team productivity, collaboration, and organizational tools available online, including via a mobile application (collectively, the “Service”), and Website, including but not limited to www.theparameter.co (the “Website”).
We call users of the mobile application and website “Users”.
Account Registration and Confidentiality
To access the Service, Mobile application and Website, you must register for an Parameter account by creating a username and password. You agree to provide us with accurate, complete, and current registration information about yourself. It is your responsibility to ensure that your password remains confidential and secure. By registering, you agree that you are fully responsible for all activities that occur under your user name and password. We may assume that any communications we receive under your account have been made by you. If you are a billing owner, an administrator, or if you have confirmed in writing that you have the authority to make decisions on behalf of a Customer (“Account Administrator”), you represent and warrant that you are authorized to make decisions on behalf of the Customer and agree that Parameter is entitled to rely on your instructions.
Unauthorized Account Use.
You are responsible for notifying us at burakkarakizli@theparameter.co if you become aware of any unauthorized use of or access to your account. You understand and agree that we may require you to provide information that may be used to confirm your identity and help ensure the security of your account. Parameter will not be liable for any loss, damages, liability, expenses or lawyers’ fees that you may incur as a result of someone else using your password or account, either with or without your knowledge and/or authorization, and regardless of whether you have or have not advised us of such unauthorized use. You will be liable for losses, damages, liability, expenses and attorneys’ fees incurred by Parameter or a third party due to someone else using your account. In the event that the Account Administrator or Customer loses access to an account or otherwise requests information about an account, Parameter reserves the right to request from the Account Administrator or Customer any verification it deems necessary before restoring access to or providing information about such account in its sole discretion.
Our Proprietary Rights
The Service, Website and Mobile Application are owned and operated by Parameter and contain materials (including all software, design, text, editorial materials, informational text, photographs, illustrations, audio clips, video clips, artwork and other graphic materials, and names, logos, trademarks and services marks) which are derived in whole or in part from materials supplied by Parameter and its partners, as well as other sources, and are protected by Turkish copyright laws, international treaty provisions, trademarks, service marks and other intellectual property laws. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in the Website and Mobile Application. You acknowledge that the Website and Mobile Application have been developed, compiled, prepared, revised, selected, and arranged by Parameter and others through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort, and money and constitute valuable intellectual property of Parameter and such others. You agree to notify Parameter immediately upon becoming aware of any claim that the Website and Mobile Application infringe upon any copyright, trademark, or other contractual, statutory, or common law rights. Any unauthorized use of any material contained on or through the Website and Mobile Application may violate copyright laws, trademark laws, the laws of privacy and publicity and communications regulations and statutes.
User Content & Feedback
User Content and Submissions on the Service. The Service allows you to create tasks and submit associated information, text, files, and other materials (collectively, “User Content”) and to share that User Content with others. User Content submitted or otherwise made available to the Service is subject to the following terms:
Users maintain ownership of the User Content that they submit to the Service. By submitting User Content, Free Users grant Parameter a license to access, use, copy, reproduce, process, adapt, publish, transmit, and display that User Content, as permitted by Parameter’s Privacy Policy, including if required to do so by law or in good faith to comply with legal process. We reserve the right to remove any User Content on the Service that violates these Terms or that is otherwise objectionable in Parameter’s sole discretion.
Feedback on the Website or Mobile Application.
The Website and Mobile Application may have certain features that allow you to submit comments, information, and other materials (collectively, “Feedback”) to Parameter and share such Feedback with other users, or the public. By submitting Feedback through the Website and Mobile Application, you grant Parameter a license to access, use, copy, reproduce, process, adapt, publish, transmit, host, and display that Feedback for any purpose (including in testimonials or other Parameter marketing materials and where required to do so by law or in good faith to comply with legal process.). We reserve the right to remove any Feedback posted in public forums for any reason at our sole discretion.
User Content and Feedback Representations.
You acknowledge and agree that you have all required rights to submit User Content and Feedback without violation of any third-party rights. You understand that Parameter does not control, and is not responsible for, User Content or Feedback, and that by using the Service and/or Website, you may be exposed to User Content or Feedback from other users that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. Please also note that User Content and Feedback may contain typographical errors, other inadvertent errors or inaccuracies. You agree that you will indemnify, defend, and hold harmless Parameter for all claims resulting from User Content or Feedback you submit through the Service and/or Website and/or Mobile Application. We reserve the right, at our own expense, to assume the exclusive defense and control of such disputes, and in any event you will cooperate with us in asserting any available defenses.
License And Acceptable Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, sub licensable, non-transferable, and revocable license to access and use the Service, Website and Mobile Application only for your own internal use (or, for Subscribers, uses authorized by the Customer), and only in a manner that complies with all legal requirements that apply to you or your use of the Service, Website and Mobile Application, including the Parameter Privacy Policy and these Terms. Parameter may revoke this license at any time, in its sole discretion.
All Users must comply with the following rules regarding acceptable use of the Service Website and Mobile Application.
Disruption of the Service.
You may not:
access, tamper with, or use non-public areas of the Service Website and Mobile Application, Parameter’s computer systems, or the technical delivery systems of Parameter’s providers;
probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measure;
access or search the Service, Website and Mobile Application by any means other than Parameter’s publicly supported interfaces (for example, “scraping”);
attempt to disrupt or overwhelm our infrastructure by intentionally imposing unreasonable requests or burdens on our resources (e.g. using “bots” or other automated systems to send requests to our servers at a rate beyond what could be sent by a human user during the same period of time); or
interfere with or disrupt the access of any user, host or network, including, without limitation, by sending a virus, overloading, flooding, spamming, mail-bombing the Servic, Website and Mobile Application, or by scripting the creation of User Content in such a manner as to interfere with or create an undue burden on the Service, Website and Mobile Application.
Misuse of the Service and Website.
You may not utilize the Service, Website and Mobile Application to carry out, promote or support:
any unlawful or fraudulent activities;
the impersonation of another person or entity or the misrepresentation of an affiliation with a person or entity in a manner that does or is intended to mislead, confuse, or deceive others;
activities that are defamatory, libelous or threatening, constitute hate speech, harassment, or stalking;
the publishing or posting of other people’s private or personal information without their express authorization and permission;
the sending of unsolicited communications, promotions advertisements, or spam;
the publishing of or linking to malicious content intended to damage or disrupt another user’s browser or computer; or
the promotion or advertisement of products or services other than your own without appropriate authorization.
User Content Standards Within the Service and Website.
You may not post any User Content on the Service or Website or Mobile Application that:
violates any applicable law, any third party’s intellectual property rights, or anyone’s right of privacy or publicity;
is deceptive, fraudulent, illegal, obscene, pornographic (including child pornography, which, upon becoming aware of, we will remove and report to law enforcement, including the National Center for Missing and Exploited children), defamatory, libelous or threatening, constitutes hate speech, harassment, or stalking;
contains any personal information of minors;
contains any sensitive personal information, such as financial information, payment card numbers, social security numbers, or health information without Parameter’s prior written consent granted as part of a Customer Agreement;
contains viruses, bots, worms, or similar harmful materials; or
contains any information that you do not have a right to make available under law or any contractual or fiduciary duty.
Violations
In addition to any other remedies that may be available to us, Parameter reserves the right to take any remedial action it deems necessary, including immediately suspending or terminating your account or your access to the Service, Website and Mobile Application upon notice and without liability for Parameter should you fail to abide by the rules in this agreement, in Parameter’s sole discretion, such action is necessary to prevent disruption of the Service or Website or Mobile Application for other users.
Privacy
For information about how we collect, use, and share the data we collect from and about you, please see our Privacy Policy.
Liability
Our liability for losses you suffer as a result of us breaching any term of the Contract is strictly limited to the total Fees actually paid by you in the six month period immediately preceding the date of the breach.
Nothing in these terms and conditions will operate to exclude or limit in any way our liability:
for death or personal injury caused by our negligence;
for fraud or fraudulent misrepresentation; or
for any matter for which it would be illegal for Us to exclude, or attempt to exclude, our liability.
We are not responsible for indirect losses which happen as a side effect of the main loss or damage, including but not limited to:
loss of income or revenue
loss of business
loss of profits or contracts
loss of anticipated savings
loss of data
waste of management or office time however arising and whether caused by tort (including negligence), breach of contract or otherwise.
We are not responsible or liable for any lack of access to our Site or Mobile Application as a result of maintenance work to Parameter. We will endeavor to provide Users and Members with reasonable notice of any maintenance work that may restrict access to our Site.
Viruses
You understand that we cannot and do not guarantee that files available for downloading from the Internet or our Service or Website or Mobile Application will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to the Service and Website for any reconstruction of any lost data.
Third-party Links And Service And Website
The Service and Website may provide (1) information and content provided by third parties; (2) links to third-party Website or resources, such as sellers of goods and services; and (3) third-party products and services for sale directly to you. Parameter is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for (i) any content, advertising, products, or other materials on or available from such sites or resources, (ii) any errors or omissions in these Website or resources, or (iii) any information handling practices or other business practices of the operators of such sites or resources. You further acknowledge and agree that Parameter shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any linked sites or resources. Your interactions with such third parties will be governed by the third parties’ own terms of service and privacy policies, and any other similar terms.
Modification
Parameter reserves the right at any time to modify or discontinue, temporarily or permanently, the Service and Website and Mobile Application (or any part thereof), with or without notice. You agree that Parameter shall not be liable to you or any third party for any modification, suspension or discontinuance of the Service and Website and Mobile Application.

Terms & Conditions for Users
1. AGREEMENT TO TERMS
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Burak Karakızlı, doing business as Parameter ("Parameter", “we”, “us”, or “our”), concerning your access to and use of the www.theparameter.co website and Parameter Mobile Application as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). You agree that by accessing the Site/Mobile Application, you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these terms of use, then you are expressly prohibited from using the site and you must discontinue use immediately.
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will alert you about any changes by updating the “Last updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Site so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.
The information provided on the Site/Mobile Application is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.
2. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Site/Mobile Application is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions. The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.
3. USER REPRESENTATIONS
By using the Site/Mobile Application, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
4. USER REGISTRATION
You may be required to register with the Site/Mobile Application. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5. FEES AND PAYMENT
You may be required to purchase or pay a fee to access some of our services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site/Mobile Application. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.
We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Site.
6. FREE TRIAL
We offer a free trial period to new users who register with the Site/Mobile Application. The account will not be charged and the subscription will be suspended until upgraded to a paid version at the end of the free trial.
7. CANCELLATION
All purchases are non-refundable. You can cancel your subscription at any time by logging into your account or contacting us using the contact information provided below. Your cancellation will take effect at the end of the current paid term.

8. PROHIBITED ACTIVITIES
You may not access or use the Site/Mobile Application for any purpose other than that for which we make the Site/Mobile Application available. The Site/Mobile Application may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Site, you agree not to:
Systematically retrieve data or other content from the Site/Mobile Application to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site/Mobile Application and/or the Content contained therein.
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site/Mobile Application.
Use any information obtained from the Site/Mobile Application in order to harass, abuse, or harm another person.
Make improper use of our support services or submit false reports of abuse or misconduct.
Use the Site/Mobile Application in a manner inconsistent with any applicable laws or regulations.
Engage in unauthorized framing of or linking to the Site/Mobile Application.
Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site/Mobile Application.
Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
Delete the copyright or other proprietary rights notice from any Content.
Attempt to impersonate another user or person or use the username of another user.
Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site/Mobile Application.
Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site/Mobile Application to you.
Attempt to bypass any measures of the Site/Mobile Application designed to prevent or restrict access to the Site/Mobile Application, or any portion of the Site/Mobile Application.
Copy or adapt the Site/Mobile Application software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site/Mobile Application.
Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
Use a buying agent or purchasing agent to make purchases on the Site/Mobile Application.
Make any unauthorized use of the Site/Mobile Application, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.

9. USER GENERATED CONTRIBUTIONS
The Site/Mobile Application may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Site/Mobile Application and through third-party websites. As such, any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you thereby represent and warrant that:
The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Site/Mobile Application, and other users of the Site/Mobile Application to use your Contributions in any manner contemplated by the Site and these Terms of Use.
You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Site/Mobile Application and these Terms of Use.
Your Contributions are not false, inaccurate, or misleading.
Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and to promote violence against a specific person or class of people.
Your Contributions do not violate any applicable law, regulation, or rule.
Your Contributions do not violate the privacy or publicity rights of any third party.
Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.
Any use of the Site in violation of the foregoing violates these Terms of Use and may result in, among other things, termination or suspension of your rights to use the Site/Mobile Application.
10. THIRD-PARTY WEBSITES-MOBILE APPLICATION AND CONTENT
The Site/Mobile Application may contain (or you may be sent via the Site/Mobile Application) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Site/Mobile Application or any Third-Party Content posted on, available through, or installed from the Site/Mobile Application, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Site and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms of Use no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Site/Mobile Application or relating to any applications you use or install from the Site/Mobile Application. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
11. SITE-MOBILE APPLICATION MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Site/Mobile Application for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site/Mobile Application or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site/Mobile Application in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site/Mobile Application.
12. PRIVACY POLICY
We care about data privacy and security. By using the Site/Mobile Application, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Use. Please be advised the Site is hosted in Turkey. If you access the Site from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in Turkiye, then through your continued use of the Site/Mobile Application, you are transferring your data to Turkiye, and you agree to have your data transferred to and processed in Turkiye.
13. TERM AND TERMINATION
These Terms of Use shall remain in full force and effect while you use the Site/Mobile Application. Without limiting any other provision of these terms of use, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Site/Mobile Application (including blocking certain ip addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these terms of use or of any applicable law or regulation. We may terminate your use or participation in the Site/Mobile Application or delete your account and any content or information that you posted at any time, without warning, in our sole discretion.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
14. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Site/Mobile Application at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site/Mobile Application. We also reserve the right to modify or discontinue all or part of the Site/Mobile Application without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site/Mobile Application.
We cannot guarantee the Site/Mobile Application will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site/Mobile Application, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site/Mobile Application at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site/Mobile Application during any downtime or discontinuance of the Site/Mobile Application. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Site/Mobile Application or to supply any corrections, updates, or releases in connection therewith.
15. GOVERNING LAW
These Terms shall be governed by and defined following the laws of Turkiye. Burak Karakızlı and yourself irrevocably consent that the courts of Turkiye shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
16. DISPUTE RESOLUTION
You agree to irrevocably submit all disputes related to Terms or the legal relationship established by this Agreement to the jurisdiction of the Turkiye courts. Burak Karakızlı shall also maintain the right to bring proceedings as to the substance of the matter in the courts of the country where you reside or, if these Terms are entered into in the course of your trade or profession, the state of your principal place of business.
17. CORRECTIONS
There may be information on the Site/Mobile Application that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site/Mobile Application at any time, without prior notice.
18. DISCLAIMER
THE Site/Mobile Application IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY Site/Mobile Application LINKED TO THE SITE AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SITE, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE Site/Mobile Application. 19. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
20. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Site/Mobile Application; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site/Mobile Application with whom you connected via the Site/Mobile Application. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
21. USER DATA
We will maintain certain data that you transmit to the Site/Mobile Application for the purpose of managing the performance of the Site, as well as data relating to your use of the Site/Mobile Application. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site/Mobile Application. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
22. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Site/Mobile Application, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site/Mobile Application, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
23. MISCELLANEOUS
These Terms of Use and any policies or operating rules posted by us on the Site/Mobile Application or in respect to the Site/Mobile Application constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Site/Mobile Application. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.

Terms of Use for Brands
These Brand terms are supplemental to the overall Parameter’s terms and conditions (Terms & Conditions for Users) and provide the terms and conditions under which Parameter provides its service that will allow you to market products through the Parameter Marketplace Platform (the “Platform”) and the services, features, Content (defined below) offered by Burak Karakızlı. (“Parameter”, “we”, “us” or “our”) (together with the Platform, the “Services”). If you do not read, understand, and agree to all of the terms and conditions of this Brand Agreement, you may not use the Platform.
Getting Started
You must request to open a Brand account (an “Account”) with Parameter through either accepting an invitation from another user or Parameter, or completing Parameter’s online registration process. By opening an Account with Parameter, you warrant that:
You are legally capable of entering into binding contracts;
You are at least 18 years old; and
All the information provided during the registration process is accurate to the best of your knowledge and belief.
Contact Information
You must provide Parameter with accurate and complete contact and payment information when you open an Account. You must immediately notify Parameter if any of this information changes. If you do not provide Parameter with complete, accurate, and updated contact information, you may not be eligible to sell products through the Platform.
Account Security
You will need to select a password if you open an Account. You will be solely and exclusively responsible for keeping your password confidential and for all use of your password and Account, including, without limitation, any use by any unauthorized third party. You must notify Parameter immediately if you believe your password has been or may be obtained or used by any unauthorized person or entity. In addition, you must notify Parameter immediately if you become aware of any other breach or attempted breach of the security of your Account or the Network or Website.
Our Services
We will use reasonable care and skill in providing our Services to you and maintaining theparameter.co operational. We reserve the right to postpone access to Our Site/Mobile Application for the purposes of maintenance, updates, or error-correction at any time without notice.
Content
Definitions
The term “Product Content” includes all Content relating to Your Products that You submit or upload to the Platform and all other Content added, created, uploaded, submitted, distributed, or posted to the Platform by users is considered “User Content”.
The term “Content” includes, without limitation, videos, audio clips, written posts and comments, information, data, text, photographs, software, scripts, graphics, trademarks, logos and interactive features generated, provided, or otherwise made accessible on or through the Services, in addition to Product Content and User Content. All Content whether publicly posted or privately transmitted, is the sole responsibility of the person or Brand from which such Content originated.
License granted to Parameter
By submitting User Content through the Services, You hereby do and shall grant us a worldwide, non-exclusive, royalty-free, fully paid, sub licensable and transferable license to use, edit, modify, reproduce, distribute, display, perform, and otherwise fully exploit the User Content in connection with the Services and our (and our successors’ and assigns’) businesses, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels (including, without limitation, third party websites and feeds).
By submitting Product Content through the Services, you hereby do and shall grant us a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sub licensable and transferable license to use, edit, modify, truncate, aggregate, reproduce, distribute, prepare derivative works of, display, and perform such Product Content solely for the purpose of providing the Services, and for no other purpose. You represent and warrant that You have all rights to grant such licenses to us without infringement or violation of any third party rights, including without limitation, any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.
Availability of Content
We do not guarantee that any Content will be made available on or through the Services. Further, we have no obligation to monitor the Site or the Services. However, we reserve the right to (i) remove, edit or modify any Content in our sole discretion, at any time, without notice to You and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if we are concerned that You may have violated these Terms), and (ii) to remove or block any Content from the Services.
You may delete or remove Your Product Content or User Content, either Yourself or through a request made to one of our employees. When Your Product Content or User Content is deleted, it will be removed from the Platform. However, You understood that any removed Product Content or User Content may persist in backup copies (and on the Parameter website/mobile application) for a reasonable period of time (but will not following removal be shared with others).
Notices & Restrictions
The Services may contain Content specifically provided by us, our partners or our users and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws (“Intellectual Property”). You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Services. You or any user affiliated with You, are strictly prohibited from using any Intellectual, including but not limited to any Content specifically provided by us, our partners or our users as well as any aspect, feature, design element, user interface or source code of the Services, outside of the Services or in any way not expressly authorized by the applicable rights holder to such Intellectual Property.
Maintaining Your Product Content
You warrant that all information you put on your seller page is accurate and is not misleading in any way.
Delivery of Content
In order to market and sell your items through the Platform a DIGITAL Brand CATALOGUE (“Catalogue”) will need to be created. This Catalogue should contain the full range of products that you will offer, including all variations and customization options. You will upload to the Platform all content necessary for the successful creation of your Catalogue in accordance with the applicable instructions on the Platform. You must also upload all other content required to package and market any of your products. Parameter may, in its sole and exclusive discretion, determine whether any content complies with such instructions and is satisfactory for use within the Platform. If content is determined to be unsatisfactory, Parameter reserves the right to remove or modify this content.
Approvals & Consents
You must have all necessary approvals and consents to use all content provided and you must deliver copies of those approvals and consents to Parameter if Parameter requests them.
When using Parameter or posting any message, information or other material, including without limitation audio or visual material and information about Products for sale (“Material”), you will comply with the provisions of this clause. You will indemnify us against any losses arising from your breach of this clause.
We disclaim all liability and responsibility arising from any reliance placed on the Material posted on Parameter by you or any User.
Any Material you upload to the public areas of Parameter (other than your chosen site password which you may upload during registration to our Site) will be considered non-confidential and non-proprietary. You warrant that any such Material:
will not contain any obscene, defamatory, abusive, threatening, or harassing material, or any pornographic, seditious, or blasphemous material or any material liable to incite racial or religious hatred or any material advertising products different than the products that could be sold at Parameter;
will not breach any legislation or applicable law;
will not infringe any third party intellectual property rights; and
(in relation to Material either sent to other Users or posted on the public areas of Our Site) will not contain or constitute unauthorised commercial communications, or “spam”.
We have the right to disclose your identity to any third party who claims that any Material posted or uploaded by you to Our Site constitutes a violation of their intellectual property rights, or their right to privacy. We reserve the right to remove any Material from Our Site which breaches any part of this clause.
Costs of Maintaining your Product Content
You will be solely responsible for the creation of the electronic and digital content that you upload to Parameter, unless agreed by Parameter in advance that Parameter will help with the Catalogue creation. You will pay all costs associated with its creation and copies thereof, including, without limitation: (i) any compensation owed to third parties; (ii) payments required by any agreement between you and any labor organization (such as unions or guilds); (iii) all studio, tape, editing, mixing, re-mixing, mastering and engineering costs; and (iv) all costs of travel, per diems, facilities and equipment, and the like.) In the event Parameter is helping with the Catalogue creation, You are liable for making sure all the items are correct before they are live on the platform.
Maintenance of Product Content
You are responsible for maintaining an up to date Catalogue including full product ranges and up to date retail prices.
Communication with Users
Users may use the Platform to send you communications in several forms, including but not limited to: Messages and Quotes. It is your responsibility to respond to any communication from a user within a reasonable period of time (usually one business day).
Quote Requests
Users may use the Platform to request quotes or place orders for Products in your Catalogue. It is your responsibility to accurately convey the full price of any Quote or Order including the final price of the Product along with any additional charges, discounts, transportation fees, and applicable taxes and include these directly in the Platform so that they are included in the response provided to the user. Parameter reserves the right to reject activity that does not comply with any such requirements as Parameter periodically may establish.
Advertising and Promotion
We will organize promotion of the Products sold on Website/Mobile Application through Search Engine Optimization, Online and Offline P.R. Online Advertising, Email Newsletter Campaigns, Affiliate Programs, participation in Industry Events or any other activities we may deem appropriate. The scope and amount of advertising and publicity are at the sole discretion of Parameter.
Both parties agree that the successful implementation of an online retail venture involves adapting to competitors strategies in terms of promotion, publicity and incentive to consumers. The Seller undertakes to accept the conditions (but only when reasonable under the perspective of a broad view of the Internet retail industry) that Parameter requires in order to carry out promotions.
Liability
Our liability for losses you suffer as a result of us breaching any term of the Contract is strictly limited to the total Fees actually paid by you in the six month period immediately preceding the date of the breach.
Nothing in these terms and conditions will operate to exclude or limit in any way our liability:
for death or personal injury caused by our negligence;
for fraud or fraudulent misrepresentation; or
for any matter for which it would be illegal for Us to exclude, or attempt to exclude, our liability.
We are not responsible for indirect losses which happen as a side effect of the main loss or damage, including but not limited to:
loss of income or revenue
loss of business
loss of profits or contracts
loss of anticipated savings
loss of data
waste of management or office time however arising and whether caused by tort (including negligence), breach of contract or otherwise.
We are not responsible or liable for any lack of access to our Site as a result of maintenance work to Parameter. We will endeavor to provide Users and Members with reasonable notice of any maintenance work that may restrict access to our Site.
Account Termination
You may delete or remove Your Product Content or User Content, either Yourself or through a request made to one of our employees or affiliates. When Your Product Content or User Content is deleted, it will be removed from the Services. However, You understood that any removed Product Content or User Content may persist in backup copies (and on the Parameter website) for a reasonable period of time (but will not following removal be shared with others).
